Terms of Service
Effective April 11, 2026
1. The Service
FactoryLM provides MIRA, an AI-powered maintenance diagnostic assistant. MIRA helps maintenance technicians troubleshoot equipment faults by analyzing uploaded equipment manuals, work-order history, and fault patterns. MIRA is accessed via web chat, Telegram, and Slack integrations.
2. Subscription & Billing
- MIRA Troubleshooter: $97/month, billed monthly. Flat site license covering unlimited users at your facility.
- MIRA Integrated: $297/month, billed monthly. Includes everything in Troubleshooter plus automatic work-order write-back to MaintainX, Limble, or UpKeep.
- Payments processed by Stripe. You can cancel anytime via the Customer Portal — no cancellation fees.
- Upon cancellation, access continues through the end of your current billing period.
3. 48-Hour Risk Reversal
If you subscribe and decide MIRA isn't right for your team within the first 48 hours, email contact@factorylm.com for a full refund. No questions, no hoops.
4. Acceptable Use
You agree not to:
- Resell, sublicense, or redistribute MIRA access to third parties outside your facility
- Use automated scripts to scrape, extract, or bulk-download other users' data
- Upload content that infringes on third-party intellectual property
- Attempt to reverse-engineer MIRA's AI models or diagnostic algorithms
- Use MIRA to generate content that violates applicable laws
5. Intellectual Property
- Your content: You retain all rights to equipment manuals, documents, and data you upload. By uploading, you grant FactoryLM a limited license to index, embed, and retrieve your content solely to provide MIRA's diagnostic service to your tenant.
- Our service: MIRA, including its diagnostic engine, retrieval pipeline, and user interface, is the property of FactoryLM, Inc. You may not copy, modify, or create derivative works of the service.
- AI-generated responses: MIRA's diagnostic responses are provided as-is for informational purposes. You may use them freely in your maintenance operations.
6. Limitation of Liability
MIRA is an AI diagnostic assistant. It is NOT a replacement for qualified maintenance personnel, OSHA compliance, NFPA 70E arc flash safety procedures, or manufacturer-specified maintenance protocols.
MIRA's responses are suggestions, not directives. Always verify critical safety information with the equipment manufacturer's documentation and follow your facility's lockout/tagout (LOTO) procedures.
To the maximum extent permitted by law, FactoryLM's liability is limited to the amount you paid in the 12 months preceding the claim. FactoryLM is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to equipment damage, personal injury, or production losses.
7. Termination
- You may cancel your subscription anytime via the Customer Portal.
- We may terminate your account for violation of these terms, with 7 days' written notice (except for egregious violations, which may result in immediate termination).
- Upon termination, your data is retained for 30 days (for reactivation), then permanently deleted. You may request immediate deletion by emailing privacy@factorylm.com.
8. Warranty Disclaimer
The service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Governing Law
These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the courts of Delaware.
10. Changes
We may update these terms. Material changes will be communicated via email to active subscribers at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
